1. Acceptance of Terms

By creating an account, clicking "Create Account," or otherwise accessing or using any part of the VibeMetricsAI platform (the "Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any other policies or guidelines incorporated by reference herein. These Terms constitute a binding legal agreement between you ("User," "you," or "your") and VibeMetricsAI ("we," "us," or "our"). If you do not agree to any part of these Terms, you must immediately cease using the Service and, if applicable, close your account. Your continued use of the Service following any modification to these Terms constitutes your acceptance of the revised Terms.

2. Eligibility

To use VibeMetricsAI, you must meet all of the following eligibility requirements:

You must be at least 18 years of age. We do not knowingly permit persons under 18 to create accounts or use any part of the Service.
You must have the legal capacity to enter into a binding contract in your jurisdiction.
Your use must not be prohibited by applicable law, regulation, or sanctions in your country or region.
You must not have been previously suspended, banned, or removed from the Service by us for any violation of these Terms.
If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration & Security

When you register for an account, you agree to provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. You must not create accounts using false or misleading information, or impersonate any person or entity.
You must not share your account credentials, password, or session tokens with any third party.
You must notify us immediately at support@vibemetricsai.com if you believe your account has been compromised or accessed without authorization.
We reserve the right to disable any account at any time if we believe, in our sole discretion, that you have violated any provision of these Terms.
You are responsible for all charges, fees, or activity incurred under your account, including unauthorized access resulting from your failure to maintain adequate credential security.

4. Description of Service

VibeMetricsAI is an AI-powered relationship intelligence platform that provides a range of tools for personal relationship insights. Current and future features of the Service may include, but are not limited to:

AI Chat Analysis: Upload or paste text conversation logs or screenshots to receive AI-generated diagnostics including ghosting risk scores, interest level readings, communication pattern breakdowns, and sentiment analysis.
Reply Generator: Receive AI-suggested reply options and opener messages based on conversation context.
Relationship Coaching: Access AI-generated advice, frameworks, and coaching prompts about dating, communication strategy, and interpersonal dynamics.
Dating Simulator: Engage with AI-driven scenario-based conversation simulations for practice and personal development.
Match Dashboard & Memory: Maintain structured profiles with notes, tracked metrics, and AI-derived insights for individual connections.
Subscription Plans: Access enhanced usage allowances, priority features, and premium tools via paid subscription tiers.

5. AI-Generated Content & Outputs

All outputs, recommendations, analyses, scores, replies, scripts, and coaching advice generated by VibeMetricsAI ("AI Outputs") are produced by artificial intelligence language models and machine learning systems. You acknowledge and agree to the following with respect to AI Outputs:

AI Outputs are provided for informational and entertainment purposes only. They do not constitute professional psychological, psychiatric, therapeutic, legal, or medical advice of any kind.
AI Outputs may contain inaccuracies, hallucinations, bias, or content that does not reflect reality. We do not warrant the accuracy, completeness, or fitness of any AI Output for any particular purpose.
VibeMetricsAI is not a licensed therapist, counselor, relationship coach, or any type of regulated professional service. No professional relationship is established through use of the Service.
You are solely responsible for how you use, interpret, or act upon AI Outputs. Any decision made based on AI-generated content is made entirely at your own risk.
AI Outputs should not be used to make significant life, health, financial, or legal decisions without consulting qualified, licensed professionals.
We reserve the right to modify, disable, or restrict any AI feature at any time without notice.

6. User-Uploaded Content

The Service allows you to submit text, chat logs, screenshots, images, and other content ("User Content") for analysis. By submitting User Content, you represent and warrant that:

You own or have obtained all necessary rights, consents, and permissions to submit the content, including any content that contains the private communications or personal information of third parties.
You have obtained the informed consent of any identifiable third party whose communications, images, or personal information appear in your uploaded content.
The content does not violate any applicable law, regulation, third-party intellectual property right, right of privacy, or right of publicity.
You grant VibeMetricsAI a limited, non-exclusive, worldwide, royalty-free license to access and process your User Content solely for the purpose of delivering the requested AI analysis.
Screenshots and image uploads are processed ephemerally in-memory for AI analysis and are never stored to persistent servers or databases.
Text logs submitted for analysis are processed to generate analysis outputs. We do not use your private conversation content to train AI models.
You must not submit content that includes the personal information of minors, non-consensually obtained private communications, or content obtained through unlawful means.

7. Prohibited Conduct

You agree that you will not engage in any of the following prohibited activities while using the Service. Violation of these prohibitions may result in immediate account termination and, where applicable, referral to law enforcement:

Illegal Activity: Using the Service for any purpose that violates applicable local, national, or international law or regulation, including privacy laws, anti-harassment statutes, or data protection regulations.
Automated Abuse: Using bots, scrapers, crawlers, automated scripts, or any non-human means to access, query, harvest, or extract data from the Service without our prior written consent.
Reverse Engineering: Attempting to decompile, disassemble, reverse engineer, or otherwise extract the source code, underlying algorithms, prompts, or system architecture of the Service.
Prompt Injection: Attempting to manipulate, override, or extract system-level prompts, instructions, or model configurations through crafted inputs or adversarial techniques.
Circumventing Usage Limits: Creating multiple accounts, using shared credentials, or employing any technical or non-technical means to bypass subscription usage caps, rate limits, or access controls.
Scraping & Data Mining: Systematically downloading, copying, or aggregating content or data from the Service for the purpose of competing with VibeMetricsAI or for commercial redistribution.
Impersonation & Fraud: Impersonating any person, entity, or VibeMetricsAI employee; providing false information during registration; or engaging in any fraudulent activity.
Harassment & Abuse: Using AI Outputs or any feature of the Service to harass, stalk, threaten, manipulate, or psychologically harm any third party.
Non-Consensual Content: Uploading, processing, or analyzing private communications, images, or personal data of individuals who have not provided explicit consent.
Spam: Using the Service to generate or distribute unsolicited commercial communications, spam, or phishing content.
Malicious Code: Uploading or transmitting viruses, malware, ransomware, or any other malicious code or content intended to disrupt the Service or harm users.
Copyright & IP Violations: Reproducing, distributing, publicly displaying, or creating derivative works of any proprietary content from the Service without express written authorization.
Illegal Content: Submitting or generating content that is unlawful, obscene, defamatory, libelous, threatening, pornographic (including content involving minors), or otherwise objectionable.
Circumventing AI Safeguards: Attempting to cause the AI to generate harmful, discriminatory, dangerous, or policy-violating content through adversarial prompting, roleplay scenarios, or indirect instruction.

8. Subscriptions, Billing & Payments

VibeMetricsAI offers both free and paid subscription tiers. The following terms govern all paid subscriptions:

Subscription fees are billed in advance on a monthly or annual cycle as selected at checkout. All fees are stated in USD and are exclusive of applicable taxes.
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date via your account billing settings.
By providing a payment method, you authorize us (or our payment processor, Paddle) to charge you the applicable subscription fees on each renewal date.
Failure to pay may result in suspension or downgrade of your account to the free tier after a grace period.
We reserve the right to modify subscription pricing with at least 30 days' prior notice. Price changes will apply to your next billing cycle after the notice period.
Promotional pricing, discount codes, and trial periods are limited-time offers and may not be combined unless explicitly stated.
All transactions are processed securely by our payment processor. We do not store full credit card numbers or sensitive payment details on our servers.

9. Refund Policy

We offer refunds subject to the following conditions. To request a refund, contact support@vibemetricsai.com with your account email and reason for the request:

New subscribers may request a full refund within 7 days of their initial paid subscription charge if they have not made substantial use of premium features.
Renewal charges are eligible for a prorated refund if the refund is requested within 48 hours of the renewal date and the account usage during the renewed period is minimal.
Annual plan refunds are handled on a case-by-case basis. We will refund prorated amounts for unused full months at our discretion.
Refunds are not available for accounts suspended or terminated due to Terms of Service violations.
One-time add-ons or credits are non-refundable once consumed.
Refunds will be issued to the original payment method within 5–10 business days of approval.

10. Intellectual Property Rights

The Service, including all software, code, algorithms, designs, graphics, text, AI models, trademarks, and other proprietary materials, is owned by VibeMetricsAI and protected by applicable intellectual property laws. Your rights are limited to the following:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.
You may not copy, reproduce, modify, adapt, publish, translate, distribute, or create derivative works of any part of the Service without our express prior written consent.
"VibeMetricsAI," the VibeMetricsAI logo, and all related names, logos, product and service names, designs, and slogans are our trademarks or registered trademarks. You may not use them without our prior written permission.
You retain ownership of User Content you submit. You grant us only the limited license described in Section 6 to process your content solely for service delivery.
AI Outputs generated at your request are provided for your personal use. You may not resell, redistribute, or commercially exploit AI Outputs without our written authorization.
Any feedback, suggestions, or feature requests you provide to us may be used by us freely to improve the Service without any obligation or compensation to you.

11. Privacy & Data Handling

Your privacy is important to us. Our collection, use, and protection of your personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key principles include:

We collect only the data necessary to provide the Service, including account information, usage analytics, and user-submitted content processed for analysis.
Screenshot and image uploads are processed ephemerally in-memory and are not stored persistently.
We do not sell your personal data to third parties.
You may request deletion of your account and all associated data at any time by contacting support@vibemetricsai.com.
We implement industry-standard encryption and security controls to protect your data in transit and at rest.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY AI OUTPUT, ANALYSIS, SCORE, OR RECOMMENDATION.
ANY WARRANTY THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULT.
VibeMetricsAI is not responsible for the accuracy of third-party information, the actions of other users, or outcomes resulting from use of or reliance on AI Outputs.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIBEMETRICSAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO VIBEMETRICSAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100). This limitation applies regardless of the theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise.

14. Indemnification

You agree to defend, indemnify, and hold harmless VibeMetricsAI and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

Your violation of these Terms or any applicable law or regulation.
Your User Content, including any claim that your uploaded content infringes, violates, or misappropriates any third-party right.
Your use or misuse of AI Outputs, including actions taken by you or others based on AI-generated content.
Your violation of any third party's rights, including rights of privacy, publicity, or intellectual property.
Any unauthorized access to or use of your account resulting from your failure to maintain credential security.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. You agree that any dispute, claim, or controversy arising from or relating to these Terms or your use of the Service will be resolved as follows:

Informal Resolution: Before initiating any formal proceeding, you agree to contact us at support@vibemetricsai.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration: If informal resolution fails, you and VibeMetricsAI agree to resolve any dispute through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English, on an individual basis.
Class Action Waiver: YOU AND VIBEMETRICSAI WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All claims must be brought in your individual capacity only.
Exceptions: Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
Users in jurisdictions where mandatory arbitration or class action waivers are unenforceable may retain the right to litigate in local courts.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice by updating the "Last updated" date at the top of this document and, where appropriate, by sending an email to your registered address or displaying an in-app notification. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and may close your account. We encourage you to review these Terms periodically to stay informed of any updates.

17. Termination

Either party may terminate the relationship governed by these Terms at any time, subject to the following:

You may terminate your account at any time by deleting your account from profile settings or by contacting support@vibemetricsai.com.
We may suspend or permanently terminate your account immediately and without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or abusive behavior, or that your continued access poses a risk to the platform or other users.
Upon termination, your right to access and use the Service ceases immediately. We may, but are not obligated to, retain copies of your User Content for a limited period as required by law or our data retention policies.
Paid subscriptions will not be refunded upon termination for cause (i.e., where termination results from your violation of these Terms).
Sections of these Terms that by their nature should survive termination — including without limitation Sections 10 (IP), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 15 (Governing Law) — shall survive.

18. General Provisions

The following general provisions apply to these Terms and your use of the Service:

Entire Agreement: These Terms, together with our Privacy Policy and any other incorporated policies, constitute the entire agreement between you and VibeMetricsAI with respect to the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations.
Force Majeure: We are not liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, war, natural disasters, cyberattacks, or government actions.
